("ChainPal," "we," "our," or "us") and you, whether you are using our services as an individual or on behalf of an entity ("you" or "your").

"Representatives" are individuals acting on behalf of a Business User, such as business founders or administrators.
"Visitors" are individuals visiting our website or interacting with us without logging into an account or using our Services.

3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation
To access and use our Services, you must register for a ChainPal account. During registration, you must provide accurate, complete, and current information as requested on the registration form.
3.2 Account Security
You are responsible for:
Maintaining the confidentiality of your account credentials
Using a strong, unique password
Regularly updating your password and monitoring account activity
All activities that occur under your account, whether authorized by you or not
Notifying us immediately at support@chainpal.com if you suspect unauthorized access to your account
3.3 Account Restrictions
You agree to the following account restrictions:
One account per user, unless explicitly permitted by ChainPal
No creation of multiple accounts to manipulate platform activities
No transferring, selling, or assigning your account to any third party
Providing only truthful and accurate information
Complying with all applicable laws, including anti-money laundering (AML) and know-your-customer (KYC) regulations
3.4 Account Termination
ChainPal reserves the right to suspend or terminate your account:
If you provide false, incomplete, or inaccurate information
If your account is involved in prohibited activities
If you violate these Terms
For any reason necessary to maintain the integrity, security, or legal compliance of the platform
You may terminate your account at any time by contacting us at support@chainpal.com.
4. LICENSE GRANT AND RESTRICTIONS

Subject to these Terms, ChainPal grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for legitimate purposes.

5. PROHIBITED ACTIVITIES
You agree not to use ChainPal's Services to:

Engage in any activity that violates applicable laws, regulations, or industry standards
Conduct fraudulent, deceptive, or illegal transactions
Facilitate or promote money laundering, terrorism financing, or any form of financial crime
Misrepresent your identity, affiliations, or business to ChainPal, its partners, or customers
5.2 Technical Abuse
Transmit, upload, or share malicious code, viruses, or harmful software
Exploit vulnerabilities in the platform for unauthorized access
Interfere with, disrupt, or attempt to disrupt the normal operation of the platform
Bypass or attempt to bypass any security measures
Engage in activities that overburden, damage, or impair the platform's infrastructure
5.3 Content Restrictions
You are prohibited from uploading, sharing, or transmitting any content that:
Promotes hate speech, discrimination, or violence
Contains explicit, offensive, or inappropriate material
Violates any third-party rights, including intellectual property rights or privacy
Encourages or facilitates illegal activities
5.4 Unauthorized Communication
Collecting, copying, or distributing information about other users without their explicit consent
Engaging in any unauthorized communication, solicitation, or data collection
Generating or distributing spam, unsolicited communications, or bulk messages
Engaging in phishing, identity theft, or attempts to obtain sensitive information
5.5 Prohibited Products and Services
Using the platform to sell prohibited goods or services, including but not limited to:
Adult content
Controlled substances
Illegal items
Activities that ChainPal reasonably deems inappropriate
6. PAYMENT TERMS
6.1 Service Fees
By using ChainPal's Services, you agree to pay all applicable fees, charges, and taxes associated with your use of the platform. These may include:
Transaction fees

Other costs clearly communicated during the transaction process
Failure to pay these fees may result in restrictions or suspension of your account or access to the platform.
6.2 Accepted Payment Methods
ChainPal supports multiple payment methods, including:

All payment methods comply with industry-standard security protocols.
6.3 Taxes and Regulatory Compliance
You are solely responsible for determining and paying any taxes, duties, or similar governmental fees that may apply to transactions conducted through ChainPal, excluding taxes based on ChainPal's net income.
6.4 Payment Disputes
In case of a dispute regarding any payment, you must notify ChainPal within thirty (30) days of the disputed transaction. Beyond this period, ChainPal reserves the right to deny review or resolution of the dispute. All refunds or chargebacks will be processed in accordance with ChainPal's Refund Policy.
7. INTELLECTUAL PROPERTY RIGHTS
7.1 ChainPal Ownership
ChainPal retains sole ownership of all intellectual property associated with the platform, including but not limited to:
Text, graphics, videos, software, data, and algorithms
Page layouts, designs, interface elements, and overall user experience features
Images, trademarks, logos, and other branding materials
Any other information, assets, or materials related to the platform
7.2 User-Uploaded Content
ChainPal does not claim ownership of content uploaded by users. However, by uploading content to the platform, you grant ChainPal a non-exclusive, royalty-free, worldwide license to use, display, modify, distribute, and reproduce your content solely for the purpose of operating, marketing, and improving the platform.
7.3 Reservation of Rights
ChainPal reserves all rights not explicitly granted under these Terms. Any unauthorized use of ChainPal's intellectual property may result in the immediate termination of your license to use the platform and potential legal action.
8. DATA PROTECTION AND PRIVACY

Any errors or defects will be corrected
The Services are free of viruses or other harmful components
The results of using the Services will meet your requirements
12.3 Financial Decisions
ChainPal does not guarantee the accuracy, completeness, or availability of platform content or services. You assume full responsibility for any financial decisions made based on information provided through our Services.
13. LIMITATION OF LIABILITY
13.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHAINPAL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.
13.2 No Liability for Certain Damages
ChainPal is not liable for:
Service interruptions, whether scheduled or unscheduled
Actions or omissions of third-party service providers or partners
Your obligations to customers or compliance with laws relating to your products or services
Any damages resulting from misuse of ChainPal Services
13.3 Exclusions
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.
14. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless ChainPal, its affiliates, subsidiaries, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
Your use of and access to the Services
Your violation of any term of these Terms
Your violation of any third-party right, including without limitation any copyright, property, or privacy right
Any claim that your content caused damage to a third party
Any unlawful activities conducted through your account
This defense and indemnification obligation will survive these Terms and your use of the Services.
15. TERM AND TERMINATION
15.1 Term
These Terms will remain in full force and effect while you use the Services or maintain an account with ChainPal.
15.2 Termination by ChainPal
ChainPal reserves the right to terminate or suspend your account and access to the Services at any time, for any reason, including but not limited to, violations of these Terms or suspected fraudulent activities.
15.3 Termination by User
You may terminate your account at any time by notifying ChainPal at support@chainpal.com or using the platform's account deletion feature.
15.4 Effect of Termination
Upon termination:
Your right to use the Services will immediately cease
ChainPal may delete or retain your account information as required by law or as necessary for legitimate business purposes
All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability
16. DISPUTE RESOLUTION
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
16.2 Arbitration
Any dispute arising under these Terms will be resolved through binding arbitration in accordance with Nigerian arbitration laws. The arbitration shall be conducted in Lagos, Nigeria, in the English language.
16.3 Waiver of Class Actions
You agree to resolve any disputes with ChainPal on an individual basis and not as a plaintiff or class member in any purported class or representative action.
16.4 Time Limitation
You agree that any claim arising out of or related to these Terms or our Services must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred.
17. GENERAL PROVISIONS
17.1 Assignment
ChainPal may assign or transfer its rights and obligations under this agreement without prior notice. You may not assign your rights without written consent from ChainPal.
17.2 Entire Agreement
These Terms constitute the entire agreement between you and ChainPal regarding the Services, superseding any prior agreements or understandings.
17.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.4 No Waiver
The failure of ChainPal to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
17.5 Headings
The section titles in these Terms are for convenience only and have no legal or contractual effect.
17.6 Force Majeure
ChainPal shall not be liable for any failure to perform its obligations where such failure is a result of acts of nature, power failures, war, terrorism, civil commotion, or other events beyond its reasonable control.
